Terms & Conditions of Sponsorship
  1. OSI shall pay all funds directly to you, and you shall bear the sole responsibility of paying any third parties with respect to the program. OSI shall not provide any other support for the program, unless it is (a) at your written request and approval, (b) consistent with any applicable legal requirements and industry guidelines, and (c) consistent with these terms and conditions.
  2. You shall be solely responsible for designing and conducting the program and for the program content; provided, however, that the program shall comply with these terms and conditions and any applicable legal requirements and industry guidelines. OSI shall have no control or influence whatsoever over the content of the program. The purpose of the program shall be medical education and/or the dissemination of scientific information. The program shall be free from commercial bias and shall not be designed to promote OSI products either directly or indirectly.
  3. You shall control the selection of presenters and moderators (collectively, the “Presenters”). OSI may suggest Presenters only at your specific written request. In the case of such a request, OSI will suggest more than one name (if possible) and will include in its written response the Presenters’ qualifications and any financial or other relationships between OSI and the Presenters, including whether any Presenters are or were actively involved in promoting OSI products. You shall record OSI’s role in suggesting Presenters and shall seek suggestions from other sources. You shall make the final independent selection of the Presenters.
  4. You shall develop the invitations and other materials advertising the program. You shall also determine the mailing/contact list to which invitations shall be sent for the program and the means of distributing them. OSI may distribute invitations for the program only if you request in writing that OSI do so. You shall acknowledge OSI’s financial support in all program invitations, syllabi, and other written materials.
  5. The content of the program shall be consistent with the following principles:
    a. The content and scope of the program shall be consistent with the program title.
    b. The program shall address all of the reasonable and relevant treatment options in the particular therapeutic area that is the subject of the program and shall not focus solely or unduly on an OSI product (unless it is the only reasonable treatment option for a particular disease or condition).
    c. Any discussion of OSI products, as well as any competing products and/or alternative treatments, shall be presented in an objective and balanced manner. Any such discussion shall include both favorable and unfavorable information, including risk information, on all such products and treatments.
    d. There shall be meaningful disclosure to the program attendees of any limitations on data that is discussed (e.g., ongoing research, interim analyses, preliminary data, or unsupported opinion).
    e. At the program, there shall be written and oral disclosure to the program attendees of (a) OSI’s financial support for the program, (b) any significant relationship between OSI and you or the Presenters, and (c) if applicable, the fact that product uses or other information discussed goes beyond the product labeling approved by the U.S. Food and Drug Administration.
    f. There shall be opportunities during the program for meaningful discussion, questions, and scientific debate.
  6. OSI shall not conduct any promotional activities (including display of exhibits or advertisements) in the meeting room or on an obligate path to the meeting room during or in conjunction with the program.
